**Job Description**

The Head of Legal & Business Conduct role plays an integral part in Gilead Sciences ANZ by leading the Legal / Business Conduct function and contributing to the ongoing success of the ANZ business. At Gilead, compliance requirements related to interactions with healthcare professionals, healthcare organizations and patient organizations is called “Business Conduct”.

The ANZ Legal/BC team consists of three team members: Head of Legal/Business Conduct, Legal/Business Conduct Manager and a Transparency & Monitoring Associate Manager. The Head of Legal / Business Conduct reports to Regional Director in the ACE (Australia, Canada, Europe) Region and is ideally based in Melbourne. The Head of Legal / Business Conduct is also a member of the local ANZ Leadership team as well as a member of the ACE Legal Management Team (Team of Legal Heads/Leaders in ACE).


The Head of Legal / Business Conduct is responsible for legal and compliance at the ANZ level as well as a broader leadership role within the local affiliate. The Head of Legal/ Business Conduct will advise the ANZ business on a variety of legal and compliance topics acting as a business partner. These topics include: pricing and reimbursement; distribution of product, privacy, determining internal policy regarding interactions with healthcare professionals and reviewing / approving meetings and events. It is anticipated that the workload of the Head of Legal / Business will be approximately equally divided between legal and compliance related work.

It is essential for the Head of Legal / Business Conduct to be proactive, engaged with their internal clients, work collaboratively within the Legal/BC team and the business, able to set appropriate priorities and deliver results within established timelines.

**Specific Role**

The Head of Legal / Business Conduct will:

• Apply the Dual Role of Legal by successfully leading and managing the Legal / BC function in the affiliate reflecting our corporate governance responsibility (protecting Gilead’s assets) and successfully business partner with our local business helping to achieve the local affiliate’s goals and objectives applying our core values;

• Be an impactful and influencing member of the local ANZ Leadership team;

• Manage, lead and further develop the ANZ Legal / BC team to achieve team and departmental priorities / initiatives;

• Support the General Manager, the local senior management team as well as different departments and functions in the ANZ affiliate in all legal areas including but not limited to contract law, pharmaceutical law, law on advertising in the health care sector, unfair competition and antitrust law, business and corporate law, intellectual property law, labor law, PBS and reimbursement issues.

• Lead further evolution of the local compliance framework and environment. This will include for the Legal / BC function:

o Leading the ANZ Compliance Committee as well as the other compliance related internal teams (eg ‘Everyday Leaders’);

o Leading and implementing the local enterprise risk management framework;

o Participating in the local Grants Committee;

o Identifying areas requiring new or revised processes and/or guidance documents related to health care professional related compliance. Driving the revision and supplementation of business conduct policies and procedures to ensure they appropriately reflect local legal and regulatory requirements;

o Being responsible for the overall reporting of Gilead ANZ financial spend with healthcare professionals, spend on third party sponsorships and spend on patient organisations as required by the Medicines Australia Code of Conduct. This includes managing the Transparency & Monitoring Officer.

o In collaboration with the Transparency & Monitoring Manager, implement the ANZ compliance monitoring plan;

o Ensuring alignment with Gilead business conduct requirements and implementing Gilead wide Business Conduct initiatives.

• Support one or two of the three Business units from an operational Legal and Compliance perspective. This involves:

o Contract negotiation and drafting as required by that business unit;

o Review of marketing and/or medical initiatives from a legal and compliance perspective;

o Approval of internal / external events organized or supported by Gilead from legal/compliance perspective;

o Involvement in the reimbursement and listing of Products on the Pharmaceutical Benefits Scheme.

• Act as Privacy Office for the local organization and the point of contact for all privacy related matters;

• Train employees on legal and compliance topics, e.g. trainings on pharmaceutical law, anticorruption, business conduct, compliance codes, competition & antitrust law and dawn raids.

• Advise on ANZ legal topics in the international context, especially with respect to questions or inquiries from colleagues in global headquarter in Foster City, USA and International headquarters in Stockley Park, UK.

• Partner with Legal/Business Conduct at HQ level in Foster City and Stockley Park. Be an active member of the ACE Legal Management Team.

**Knowledge, Experience & Skills:**

The ideal candidate is a highly motivated pro-active self-starter with a high dedication and natural interest to legal topics in life-science industry. She/he

• Is a strong team-player and collaborate both locally and across the broader Legal / Business Conduct function.

• Must have an excellent understanding the Medicines Australia Code of Conduct;

• Must have excellent analytical, problem solving, written and verbal communication skills.

• Must have excellent skills, depth and expertise depending in area(s) of responsibility.

• Must be able to horizon scan for legislative requirements that impact the business.

• Must have an in depth client service orientation and ability to recognize and respond quickly and pragmatically to urgent, complex situations and demanding client business partners.

• Must be able to work cross-functionally and cross- culturally and the ability to foster and maintain relationships through all levels of the organization;

• Manages and coordinates numerous projects simultaneously while meeting project deadlines;

• Must be able to set priorities in a high workload setting and lead the ANZ Legal / Business Conduct priorities;

• Must be comfortable undertaking operational compliance responsibilities including reviewing / approving high volume meetings and events;

**Typical Education & Experience**

· Fully qualified lawyer Australia and/or New Zealand.

· Fully admitted to practice applicable laws in the country or jurisdictions of responsibility.

· Preferably 10+ years of industry or law firm experience.

· Experience in pharmaceuticals, biotech or other highly regulated industry preferred. Experience with PBS listing and negotiation is specifically desirable.
